Terms of Service

About these terms

These terms are an agreement between you and Takumi Ito, who runs MemoMori from Japan ("we", "us"). By creating an account or using MemoMori, you accept them. Our Privacy Policy explains how we handle your data, and our 特定商取引法に基づく表記 lists the seller details Japanese law requires.

Your account

You sign in with Google or GitHub, and you must be at least 18. One account is for one person. Keep your Google or GitHub account and your API keys secure: you are responsible for what happens under your account. If you think someone else has access, sign them out in Settings and tell us.

Trial, subscriptions and billing

Each person gets one free 14-day trial, with no card needed. After that, MemoMori needs the Pro plan: $8 a month, or $80 a year. Yearly plans started during the launch offer cost $40 a year for as long as they stay subscribed. Prices are in US dollars and include tax. Checkout may show the price in your own currency. If you subscribe during your trial, we don't charge you until it ends.

If you live outside Japan, Sold through Link, LLC, a Stripe company, sells you the plan as merchant of record and handles the tax due where you live. If you live in Japan, we sell you the plan and handle Japanese consumption tax ourselves. Either way, Link takes payment and sends receipts, so your card statement shows "Link.com*MemoMori" or similar. Your plan renews each month or year until you cancel. Pro includes unlimited workspaces and 30 GiB of storage. Notes and their version history, uploaded files and drawing images all count toward it, and so do files in the trash until you delete them. Once you reach the limit, you can't save new content until you free space. If we raise the price, we tell you at least 30 days before your next renewal.

When your trial ends, or a payment still fails after Stripe's retries, your account becomes read-only. You can still open, search and download everything, and you can edit again once you subscribe.

Cancellation and refunds

You can cancel at any time in Settings. You keep Pro until the end of the period you paid for, and then your account becomes read-only. We keep your data until you delete your account.

We don't refund part of a period when you cancel early or delete your account. If we charge you by mistake, we refund that charge.

If we shut MemoMori down, or close your account when you haven't broken these terms, we refund the unused part of the period you paid for, pro rata by day.

If the law where you live gives you a right to cancel or get a refund, these terms don't take that right away.

Your content

You own what you put in MemoMori. You give us permission to store, copy, index, process and display it only so we can run the service for you, for example to sync it, search it, keep versions, format it and back it up. You must have the right to upload what you upload.

Acceptable use

Don't use MemoMori to:

  • store or share content that breaks the law or someone else's rights, such as copyright.
  • spread malware, or attack, probe or break into MemoMori or other systems.
  • get around rate limits, storage limits or the one-trial rule, for example by making extra accounts.
  • resell MemoMori or put so much load on it that it slows for others.

API and connected apps

You can reach your data through our API with an API key, or by approving an app such as an MCP client. Those apps act with your access, so approve only apps you trust. You can revoke keys and apps in Settings at any time. The API has rate limits, and we may change it; we give notice before changes that break existing use.

Service availability and changes

We work to keep MemoMori running, but we can't promise it will always be available or free of errors. We may add, change or remove features. If we shut MemoMori down, we tell you at least 30 days ahead so you can download your data, and we refund the unused part of your plan.

Suspension and account deletion

We may suspend or close your account if you break these terms, put the service or other users at risk, or if the law requires it. Unless the law forbids it, we tell you why and give you a chance to download your data. If we close your account and you haven't broken these terms, we refund the unused part of your plan.

You can delete your account in Settings. It turns read-only at once. For 30 days you can still sign in, download your data and cancel the deletion. After that we remove it for good. Deleting stops your plan from renewing, or ends it at once if a payment is overdue, and we void any unpaid invoices. We don't refund the time left. If you cancel the deletion, your plan stays set to end until you renew it in Settings. The Privacy Policy explains what happens to your data.

Disclaimers and liability

We provide MemoMori "as is". Keep your own copies of anything you can't afford to lose. To the extent the law allows, we are not liable for indirect or lost-profit damages, and our total liability is limited to what you paid us in the 12 months before the claim.

These limits don't apply to harm we cause on purpose or through gross negligence, or where the law doesn't allow them.

Changes to these terms

When we change these terms, we update the date at the top. If a change matters, we tell you by email or in the app at least 30 days before it takes effect. If you don't agree, you can cancel and delete your account before then.

Governing law and disputes

Japanese law governs these terms, and the Tokyo District Court hears disputes first. If you are a consumer, you keep the protections and the right to go to court that the law where you live gives you. Before you go to court, please email hello@memomori.app so we can try to fix the problem.
